We are not a regulated financial services firm. We act as an adviser, coordinator, and drafting resource — working alongside appropriately authorised counsel, regulated paymasters, and licensed counterparties where the matter requires.

A gated process,

Introduction
By referral or existing relationship. A short written summary identifies jurisdictions, counterparties where known, commercial objective, and indicative timing.

Mutual NDA
Bilateral confidentiality is established before substantive discussion of the underlying transaction, counterparties, or sensitive commercial information.
III
Preliminary call
A scoping conversation to confirm commercial fit, jurisdictional considerations, and whether Codecia is the right platform. Onboarding and KYC may begin in parallel.
IV
Engagement letter
Scope, mobilisation fee, retainer, success mechanics, exclusivity, term, expenses, and settlement currency are agreed in writing. English law, exclusive jurisdiction of England and Wales.
V
Mobilisation
Work commences on receipt of the mobilisation fee and counter-signed engagement letter. Communication cadence and reporting format are set at this point.
VI
Execution & close
Deliverables are produced on the agreed timeline. Success fees, where applicable, fall due on closing or on the trigger event defined in the engagement letter.
